The following terms and<\/span> conditions apply<\/span> to all contracts<\/span> made<\/span> between desisn<\/span> and its<\/span> clients<\/span>.<\/span> The terms and conditions<\/span> take effect<\/span> if the client<\/span> does not object<\/span> in writing within 5<\/span> working days after the<\/span> acceptance<\/span> of any agreed work that is to be done by desisn.<\/span><\/span><\/span><\/p>\n

1.<\/span> Copyright and licenses<\/span><\/span><\/h5>\n

1.1.<\/span> All designs<\/span>, graphics, programming<\/span> code<\/span> and other<\/span> works<\/span> are subject to German<\/span> copyright law<\/span>. They<\/span> may not be changed<\/span> whether it is the original or<\/span> any<\/span> reproduction without<\/span> prior authorization<\/span> by<\/span> desisn.<\/span><\/p>\n

1.2.<\/span> The designs<\/span>, graphics, programming<\/span> code<\/span> and other<\/span> content may not be changed<\/span> without<\/span> the prior written<\/span> consent<\/span> of the designer<\/span>, not even in a<\/span> reproduction.<\/span> Any imitation – even<\/span> in parts – is<\/span> prohibited.<\/span> A violation<\/span> entitles<\/span> the designer<\/span> to demand a<\/span> penalty<\/span> of<\/span> double the agreed fee<\/span>. If<\/span> no fee has been<\/span> agreed, the<\/span> customary fee<\/span> under the collective agreement<\/span> for design services<\/span> as specified by SDSt<\/span> \/<\/span> AGD (Alliance of German Designers)<\/span> applies<\/span>.<\/p>\n

1.3.<\/span> The client<\/span> is being granted<\/span> the usage rights <\/span>for<\/span> his own individual application<\/span>, unless special<\/span> terms have been<\/span> agreed.<\/span> desisn<\/span> is entitled to use<\/span> designs and<\/span> graphics<\/span> for its own portfolio,<\/span> design<\/span> contests or<\/span> other<\/span> promotional<\/span> purposes.<\/span> If the client does not want desisn to use work samples in this way, they<\/span> must arrange this<\/span> with us before<\/span> placing an order<\/span> with<\/span> us<\/span>.<\/p>\n

1.4.<\/span> Prior to the\u00a0<\/span>transmission of usage rights<\/span> to third parties<\/span>, it is necessary to<\/span> obtain a written authorization<\/span> from<\/span> desisn<\/span>.<\/p>\n

1.5.<\/span> desisn<\/span> reserves<\/span> the right<\/span> to be named<\/span> on<\/span> print and<\/span> interactive media<\/span> and internet sites<\/span> as<\/span> the responsible design agency<\/span>, unless that has been<\/span> previously<\/span> excluded<\/span> by mutual agreement.<\/span><\/p>\n

1.6<\/span> desisn<\/span> remains in the possession<\/span> of usage rights<\/span> until full<\/span> payment of the work<\/span>.<\/span><\/p>\n

2. Remuneration<\/span><\/h5>\n

2.1.<\/span> The<\/span> payments<\/span> are<\/span> net amounts<\/span>, exclusive<\/span> of<\/span> VAT, and<\/span> payable in full.<\/span><\/p>\n

2.2<\/span>. Maturity of<\/span> Payment:<\/span> Payment is due<\/span> upon delivery<\/span> of the designs.<\/span> If a delivery<\/span> is made in parts<\/span>, a partial<\/span> payment is due after the delivery of the first part<\/span>, including at least<\/span> half of the<\/span> total compensation.<\/span><\/p>\n

2.3<\/span> At the request of<\/span> customers, we<\/span> can also<\/span> offer you<\/span> a specially<\/span> tailored<\/span> payment plan<\/span>, it must be in writing<\/span> prior to the order<\/span> and<\/span> agreed<\/span> upon between<\/span> desisn and<\/span> you.<\/span><\/p>\n

2.4.<\/span> If<\/span> existing<\/span> designs<\/span> are to be used for<\/span> a new edition<\/span>, for example for flyers,<\/span> the customer is obliged<\/span> to make<\/span> an additional payment<\/span> for the new edition.<\/span><\/p>\n

2.5<\/span> In case of late<\/span> payment<\/span>, a default interest rate of 8<\/span>% is charged above the current base rate<\/span> of the Deutsche<\/span> Bundesbank (German Federal Bank).<\/span> Furthermore<\/span> desisn\u00a0reserves the right to<\/span> press legal charges against the offending client<\/span> to assert the<\/span> damages incurred<\/span> by a<\/span> late payment.<\/span><\/p>\n

2.6<\/span> The case of late payment automatically applies, if the<\/span> client<\/span> has not paid within three<\/span> weeks after the receipt of the first invoice<\/span> upon completion<\/span> and<\/span> delivery of the agreed<\/span> goods<\/span><\/span>.<\/p>\n

3.<\/span> External services<\/span><\/h5>\n

3.1.<\/span> desisn<\/span> is<\/span> entitled to appoint<\/span> the necessary<\/span> external services<\/span> in the name <\/span>of the client.<\/span> The client is<\/span> obliged to provide<\/span> desisn<\/span> written<\/span> authorization.<\/span><\/p>\n

3.2<\/span>. Regarding<\/span> contracts for<\/span> external services <\/span> the customer is obliged<\/span> to free desisn<\/span> from<\/span> all liabilities<\/span> arising<\/span> out of the<\/span> contract<\/span>, in particular from the obligation<\/span> to pay<\/span> the external contractor<\/span>. desisn charges<\/span> a 10<\/span>% handling fee<\/span> for<\/span> all external services being done.<\/p>\n

4. Retention<\/span>, return obligation<\/span><\/h5>\n

4.1.<\/span> Only<\/span> using<\/span> rights are granted for designs and final drawings<\/span><\/span>, but ownership<\/span> rights remain with desisn.<\/span> Originals<\/span> are<\/span> to be returned undamaged<\/span> to the designer<\/span>\u00a0no later than<\/span> three months after delivery<\/span>, unless otherwise agreed<\/span> in writing.<\/span><\/p>\n

4.2<\/span>. In case of damage<\/span> or<\/span> loss<\/span> of draft<\/span> or<\/span> final drawings<\/span> the<\/span> customer must reimburse<\/span> the costs<\/span> that are necessary<\/span> for reproduction.<\/span> The right to claim<\/span> further damages remains<\/span> unaffected.<\/span><\/p>\n

4.3 The<\/span> delivered<\/span> of images<\/span>, graphics, text, programming and web-based software<\/span> solutions by the contractor<\/span> are copyright protected<\/span> and<\/span> are<\/span> usable by the<\/span> contractor for<\/span> the<\/span> duration specified in the contract.<\/span> Any further use<\/span>, reproduction or modification<\/span> is permitted only<\/span> with written permission<\/span> by<\/span> desisn<\/span>.<\/p>\n

4.4.<\/span>\u00a0Websites<\/span> and web-based software<\/span> solutions<\/span> created<\/span> by desisn <\/span>are copyright protected<\/span> and<\/span> are<\/span> labeled as such.<\/span><\/p>\n

5. Transfer<\/span> of<\/span> data<\/span><\/h5>\n

5.1.<\/span> desisn<\/span> is not obliged<\/span> to give out its s<\/span>ource files, project code <\/span>or any other data.<\/span> If the client wishes<\/span> that<\/span> desisn<\/span> provides original source files, project code or any other <\/span>data<\/span>, this<\/span> needs to be<\/span> agreed<\/span> upon in writing and<\/span> paid for separately<\/span>.<\/p>\n

5.2<\/span>. Has<\/span> desisn<\/span> provided the client<\/span> source files, project code <\/span>or any other data<\/span><\/span>, this data <\/span>may only be changed<\/span> with the consent<\/span> of<\/span> desisn<\/span>.<\/p>\n

5.3.<\/span> Possible<\/span> risks and costs of<\/span> transport of data media<\/span>, files and data online and<\/span> offline<\/span> are borne by the customer<\/span>.<\/p>\n

5.4.<\/span> desisn<\/span> cannot be held liable<\/span> for defects in<\/span> media<\/span>, files and data except for willful misconduct<\/span> or gross<\/span> negligence<\/span>. The liability of<\/span> desisn<\/span> is excluded for<\/span> errors<\/span> in data storage media<\/span>, files and<\/span> data that is created<\/span> on<\/span> the system<\/span> of the client<\/span> during the import of data<\/span>.<\/p>\n

6.<\/span> Shipping, Delivery<\/span><\/h5>\n

6.1.<\/span> Has<\/span> desisn<\/span> committed<\/span> to shipping,<\/span> we<\/span> will handle this<\/span> for the client<\/span> with due<\/span> care but<\/span> shall only be liable<\/span> for intent and gross<\/span> negligence.<\/span> Possible<\/span> risks<\/span> for damage<\/span> shall pass to the<\/span> customer as soon as<\/span> the shipment has been<\/span> handed over to the<\/span> person<\/span> carrying out the transport<\/span>.<\/p>\n

6.2<\/span>. Delivery dates are only<\/span> valid if<\/span> they are expressly confirmed<\/span> by the contractor.<\/span> If the contract is<\/span> concluded in writing,<\/span> the<\/span> confirmation<\/span> of the delivery date<\/span> needs to be agreed upon in writing as well.<\/span><\/p>\n

6.3.<\/span> Should<\/span> desisn<\/span> perform<\/span> production monitoring<\/span>, desisn<\/span> and the client<\/span> will sign an agreement in writing<\/span>. While desisn performs<\/span> the<\/span> production<\/span> monitoring<\/span>, desisn<\/span> decides<\/span> at its sole discretion<\/span> and<\/span> passes instructions accordingly<\/span>.<\/p>\n

6.4.<\/span> Deliveries<\/span> that exceed or fall below up to 10<\/span>% of the ordered quantity<\/span> can<\/span> not be rejected.<\/span> The normal fee for the<\/span> agreed upon<\/span> quantity will be charged<\/span>.<\/p>\n

7. Liability<\/span><\/h5>\n

7.1.<\/span> desisn<\/span> can be held liable only<\/span> for damages<\/span> desisn<\/span> intentionally causes<\/span> or<\/span> for gross negligence.<\/span> This excludes<\/span> damage resulting from<\/span> breach of a contractual<\/span> obligation if<\/span> the<\/span> purpose of the contract<\/span> is essential<\/span> (cardinal obligation)<\/span>, as well as damage<\/span> from injury to<\/span> life, body<\/span> or health,<\/span> for which<\/span> desisn<\/span> can be help accountable even in the case of minor<\/span> negligence<\/span>.<\/p>\n

7.2<\/span>. With the<\/span> acceptance of the work<\/span> and \/<\/span> or<\/span> the release<\/span> of designs and<\/span> graphics<\/span> the<\/span> customer assumes<\/span> responsibility for the accuracy<\/span> of text and image<\/span>, with the result that the liability of<\/span> desisn<\/span> no longer does apply<\/span>.<\/p>\n

7.3.<\/span> The client is obliged<\/span> to examine the<\/span> services provided by<\/span> desisn<\/span> plant capacity<\/span> of receipt<\/span> within a reasonable<\/span> period and notify<\/span> any<\/span> defects to<\/span> desisn<\/span>. Notification of any obvious<\/span> defects<\/span> must be submitted in writing<\/span> within two<\/span> weeks of delivery<\/span> of the work<\/span>, complaints regarding not<\/span> obvious defects<\/span> can be submitted within a<\/span> period of two weeks<\/span> upon detection of the<\/span> defect.<\/span> To comply with the<\/span> notice period it<\/span> is sufficient to send<\/span> the<\/span> complaint in time<\/span>. If the client fails to<\/span> point out<\/span> respective defects in time the work of the designer<\/span> is deemed approved<\/span>.<\/p>\n

8. Termination<\/span>, Performance, Jurisdiction<\/span><\/h5>\n

8.1.<\/span> Should the client<\/span> cancel the<\/span> contract early<\/span>, desisn<\/span> receives the agreed remuneration<\/span>. However<\/span> a partial amount of the fee can be deducted according to <\/span>\u00a7649 BGB.<\/span><\/p>\n

8.2.<\/span> Place of <\/span>jurisdiction is<\/span> Berlin, Germany. The contractual<\/span> relationship shall be<\/span> governed by German law<\/span>. CISG<\/span> is excluded.<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"
